CONTENT OF THE PROGRAMME:
Lecture 1: Loans: bilateral and syndicated lending
In this lecture, we will be lookingat the participants of bilateral and syndicated lending. LMA based facility agreements; termsheet and mandate letter. The process from due diligence/onboarding till the closing. We will also look at the representations, covenants/undertakings and events of default.
Lecture 2: Secured Lending
In this lecture, we will explore security available under English law. Creation of security and perfection. We shall look at the differences between pledge and charge; mortgages and other quasi-security products.
Lecture 3: Legal Opinion and Novation, Assignment and Sub-participation
This lecture aims at exploring clauses and drafting tips for legal opinion in relation to the loan documents. We will also look at ways of transfer of loans: novations, assignment and sub-participation.
Lecture 4: Capital Markets
In this final lecture, we look at capital markets products such as bonds. We shall look at the transaction documents and participants involved. We will also review the process of eurobonds issuance in details. Listing rules of LSE and some other alternative markets.
